# Legal

Spindle Finance is a technology service provider. We do not offer financial advice. We exist legally as a Limited Company ("LTD").<br>

Spindle Finance is not an investment firm. It is a software platform. Use of the software platform is not risk free. Risks include market risk (the value of underlying crypto-currencies falls), smart contract risk, regulatory risk. Spindle Finance Finance is a new protocol and also subject to the increased risk of start-ups when attempting to achieve user adoption and product-market fit.<br>

By using our services you assume all risks associated with using our services. By using our services you represent that you are sophisticated enough to understand the various inherent risks of using cryptographic and public blockchain-based systems, including but not limited to the platform itself. Users hereby acknowledge potential risks, including but not limited to the platform, services, software, smart contracts, infrastructure, errors, mistakes, inaccuracies, digital assets, third-party activities (including the underlying blockchain, wallets, bridges and integrated protocols), and indemnify Spindle Finance, related companies, shareholders, board members, staff, contractors and developers from any related claims or liabilities.\

There are geographical restrictions on participation in Spindle Finance fund-raising rounds and also on user access to the platform.

Residents or citizens of Afghanistan, Cuba, Belarus, Burundi, Myanmar (Burma), Cote D’Ivoire (Ivory Coast), Crimea and Sevastopol, Cuba, Democratic People's Republic of Korea, Democratic Republic of Congo, Iran, Iraq, Liberia, Libya, Mali Netherlands, Paraguay, Somalia, Sudan, Syria, United Kingdom, United States of America, Venezuela, Yemen, Zimbabwe or any other country to which the United States of America, the United Kingdom or the European Union embargoes services or imposes similar sanctions (collectively, "Restricted Territories") are not permitted to participate in the Token Generation Event (TGE) or otherwise use the services of Spindle Finance. By participating in the event, you certify you are neither a citizen nor a resident of those countries.<br>

Spindle Finance does not allow persons targeted by United States of America, the United Kingdom or European Union sanctions, including but not limited to Magnitsky Sanctions, to use its platform or otherwise use its services. By using our services you agree that it is exclusively your responsibility to make sure that using the service is legal in your country of residence, the country from which you access the services and legal for you personally.

By using our services you agree to not bring any claim (including non-contractual disputes or claims) against Spindle Finance, related companies, shareholders, board members, staff, contractors and developers as part of a class action. You expressly waive any right to file a class action or seek relief on a class basis. Any dispute, claim or controversy relating in any way to this agreement, the site, the platform, or your use of our services will be resolved by binding arbitration rather than in court. Spindle Finance will appoint the arbitrator and choose the governing law. If you do not wish to be bound by the class action waiver provisions and the arbitration clause or any of the terms set forth herein, you are not authorised to use the Spindle Finance platform and you may not use the Spindle Finance services.
